Articles of Constitution

Article 1: The name of this organization shall be Branch 1640, NBTA, herein after referred to as the Branch.

Article 2: OBJECTS:

The objects of the Branch shall be:

a. To support and participate in the activities of the New Brunswick Teachers' Association.

b. To establish and maintain friendly relations among the teachers of the District.

c. To advance the interests of education in the District and elsewhere.

d. To assist in the professional development of its members.


a. Any teacher as defined in the Act of Incorporation of N.B.T.A. by laws, excepting active members of the A.E.F.N.B., shall be eligible for membership in the N.B.T.A Branch in this district.

b. Any teacher who retires on pension while a member of the Branch in good standing shall be offered an honorary life membership in the Branch but may not serve on the Executive Committee of the Branch.

Article 4: DUES

a. Each member of the Branch will pay an annual membership fee should the necessity arise.

b. The amount for the membership fee (dues) shall be proposed by the Executive Committee in accordance with estimated needs and must be approved at the Annual General Meeting of the Branch.

Article 5: MEETINGS

a. The meeting for the election of officers shall take place in April or May of each school year and shall be called the Annual General Meeting of the Branch.

b. There shall be a minimum of three meetings (general) of the Branch per school year. The Executive Committee at its first meeting shall propose tentative times and places for such meetings, and the schedule sent to the Secretary Treasurer of the N.B.T.A (P.O Box 752, Fredericton, N.B.)

c. Notices of meetings, together with an agenda should be sent to each school in the district at least eight days prior to the date for which the meeting is called.

d. A special meeting must be called upon the written request of five or more members of the Branch.

e. Quorum   Business shall not be conducted unless a quorum be present. A quorum shall consist of 10 registered members.


a. The Executive Committee shall consist of a President, immediate Past President, Vice-President, Secretary, Treasurer, the Director and local members of Provincial committees or sub-committees as ex-officio members of the Executive Committee with full voting privileges.

b. A meeting of the Executive Committee may be called prior to each regular meeting at the discretion of the President.

c. A quorum of the Executive Committee shall consist of 30% of its members.

d. Duties of the Executive Committee shall be:
    i. to direct and supervise in the business, property and affairs of the Branch between Branch meetings in conformity with policies and directives of the Branch as appearing in the minutes of meetings of the said Branch.
    ii. to have such further powers and carry out such other duties as assigned to it by the Branch from time to time.
    iii. to report to each Branch meeting on all actions and decisions taken or made by it since the last meeting.
e. A Branch meeting may, by two-thirds majority vote, rescind, revoke, annul, or overrule acts or decisions taken or made by the Executive Committee; otherwise, all actions taken shall stand effective.

Article 7: ELECTIONS

a. The Nominating Committee to bring in a proposed slate of officers for the following school year shall be appointed at the general meeting immediately preceding the Annual Meeting of the Branch.

b. The Nominating Committee shall present its written report for publication on the agenda of the Annual Meeting. Further nominations may be made from the floor at the Annual Meeting.

c. Should there be two or more candidates for a position on the Executive Committee, the elections shall be by secret ballot.

d. Voting by secret ballot shall continue, dropping the nominee with the lowest number of voted until one candidate has obtained a clear majority of members present.


a. These shall be nominated at the A.G.M by the general membership.


a. No change or changes in the Constitution may be made without notice of motion of such change or changes having been announced at the preceding regular meeting.

b. The constitution and/or by-laws may be amended at any regular meeting by a two-third majority vote of members present, provided that those present constitute a majority of the members in good standing and that notice of motion had been given at the previous general meeting.

c. By-laws may be amended for extenuating circumstances by the Executive Committee, by a two-thirds majority vote, such action to be ratified at the next regular meeting by the general membership. Such ratification to be item number one of the agendas of the next regular or special meeting of the Branch.


1. The articles and By-Laws of the Constitution shall be made available at the first general meeting in each school year.

2. It shall be the responsibility of the Secretary to preserve at least one copy of the constitution with all amendments.

3. No members of the Branch shall hold office of President, Vice President, Secretary, or Treasurer for more than two school years in succession, unless recommended and approved at the Annual General Meeting.

4. All business sessions of meetings shall be conducted according to the current edition of Roberts Rules of Order Newly Revised.

5. A bank account shall be maintained and all Branch business of financial nature shall be transacted over signatures of the Treasurer and either the President or Secretary.

6. Except at the discretion of the President, no meeting of the Executive or of any other committee or of any other group of teachers organized for some particular purpose shall be scheduled to coincide with any part of the program of a general meeting with the exception of a social gathering.

7. a. Payment of transportation to meetings shall be the responsibility of individual teachers, not of the Branch.

b. Authorized Branch representatives on duly authorized Branch business may be compensated at the above rate. (15 cents a Km)

c. Transportation of persons invited from outside the Branch area to attend Branch meetings will be paid at the rate paid by the N.B.T.A.

d. Authorized Branch representatives on duly authorized Branch business meetings where meals are served may be compensated at NBTA provincial rates.

8. It shall be the responsibility of All Committee Chairpersons to present a written report on their yearly activities at the Annual General Meeting. This report shall be submitted to the secretary upon acceptance by the membership.

9. The Courtesy Committee shall recognize by letter all occasions reported to it, except when sympathy is to be expressed to the immediate family of a deceased member present or past, of the District 1640 Branch of the N.B.T.A., in which case flowers or other proper considerations shall be sent and paid for out of the general treasury of the Branch.

10. A membership book shall be purchased and the Branch Secretary shall keep the name of registered members from year to year.

Duties and Privileges of Officers

It shall be the responsibility of the President and Treasurer to pay, as they arise, all bills occurring from normal Branch requirements from activities authorized by the Branch members.

The President shall:
    1. be presiding officer of the Branch; chairman of the Executive Committee and, ex-officio member of all committees.
    2. have general supervision over all Branch affairs.
    3. have authority to call special meetings, connected with the general public or with the N.B.T.A.
    4. be responsible for sending to Branch member's, notices of meetings of the Branch.
The Vice President shall:
in the absence or disability of the President, perform all the duties of the President.

The Secretary shall:
    1. be the custodian of all records and correspondence of the Branch, except financial.
    2. take and keep, in the name of the Branch, an accurate record of all the executive and general meetings.
    3. present at the Annual General Meeting a report of the activities of the Branch since the previous Annual General Meeting.
The Treasurer shall:
    1. receive all branch monies and deposit them in a chartered bank in the name of the Branch.
    2. along with the President or Secretary, be a signing officer of the Branch and make all payments by cheque.
    3. kept an accurate record of all receipts and expenditures and render a financial statement to the Annual Meeting.
    4. have the books available with prior notice for scrutiny by general membership upon request.
The Director shall:
    1. represent teachers at board meetings.
    2. report to members on board meetings.
    3. act as liaison between branch and NBTA.
The Past President shall:
    1. consult and advise president.
    2. act as parliamentarian.
The School Representatives shall:
    1. act as liaison between school members and Branch Executive.
    2. distribute NBTA information to school members.
    3. be in charge of members voting in NBTA related activities.
