Articles of Constitution

ARTICLE I - Name
1. The name of this organization shall be the N.B.T.A. Branch 1826, hereinafter referred to as the Branch.

ARTICLE II - Branch Authority
1. The Branch may take any measure it deems necessary to effect any policy adopted by it, provided that such measure and such policy are not inconsistent with the provisions of this Constitution, the N.B.T.A. Act of Incorporation or By-Laws, the N.B.T.F. Act of Incorporation or By-Laws, or any Act or Regulation of a legally constituted higher authority municipal, provincial, national, or other.

ARTICLE III - Objectives
1. The objectives of the Branch shall be:

    a. To act in cooperation with the N.B.T.A. in advancing the cause of education;
    b. To enhance the status of the teaching profession to establish education as our first priority;
    c. To promote and to safeguard, in co-operation with the N.B.T.A. and N.B.T,F., the interests of teachers, and to provide advice to members in their professional duties and relationships; and
    d. To establish and to maintain close liaison with School District 18's District Education Council and with the Administration in all matters affecting the membership.

ARTICLE IV - Membership
1. Membership shall be Full, Associate or Honourary Life Members of District 1826.

2. Full membership shall be accorded to all teachers who are employed by School District 18 in schools within Branch 1826 and who are members of the N.B.T.A.

3. Full member's rights shall include

    a. The right to attend general meetings and Representative Council Meetings;
    b. The right to speak at general meetings and representative council meetings;
    c. The right to hold any Branch office; and
    d. The right to vote at any general meeting or on any matter submitted by ballot either to the entire membership, or to a portion of the membership that includes the member (such as a school or a grade level, etc.).
4. Associate membership: retired teachers shall be eligible to enjoy all the rights of Full members except the right to vote and the right to hold office.

5. Honourary Life membership may be conferred by the Branch Representative Council or by a General Meeting upon a person who:
    a. Has rendered outstanding service to the cause of education;
    b. Has rendered outstanding service to the Branch; and
    c. Is receiving a teacher's pension under any act of the Legislative Assembly of New Brunswick and who, at the time of his retirement, was a member of the Branch

ARTICLE V - Executive
1. The Branch Executive shall consist of the:

    a. President;
    b. First Vice-President;
    c. Second Vice-president;
    d. Past President;
    e. Secretary;
    f. Treasurer;
    g. N.B.T.A. Director representing the Branch; and
    h. N.B.T.A. Alternate Director representing the Branch.
2. All members of the Executive except the Secretary and the Treasurer shall be elected by popular vote in the manner prescribed by By-Law.

3. The President and the Vice-Presidents shall separately have a maximum of two consecutive two-year terms;

4. The President and the Vice-Presidents shall take office July 1st;

5. The President and Vice-presidents shall be ex-officio members of all committees;

6. The Secretary and Treasurer shall be appointed by the President for a one-year term commencing July 1st;

7. Each member of the Executive shall have one vote except the Secretary and Treasurer who shall be non-voting;

8. The Executive shall:
    a. Meet at the call of the President, or meet at the call of any two members of the Executive;
    b. Direct and supervise the business, property and affairs of the Branch between Representative Council meetings in conformity with the policies and directives of the Representative Council as appearing in the minutes of the Representative Council meetings;
    c. Have such further powers and carry out such other duties as may be assigned to it by the Representative Council; and
    d. Report to each Representative Council meeting on all actions and decisions taken or made by it since the last meeting.
9. A Representative Council meeting or a General Meeting may by majority vote of the members present, rescind, revoke, annul or overrule any acts or decisions taken or made by the Executive; otherwise all actions taken shall stand effective.

10. A member of the Executive who, without cause, fails to attend three (3) consecutive regular or special meetings of the Representative Council shall be replaced.
    a. The President by the First Vice-president;
    b. The First Vice-president by the Second Vice-President;
    c. The Director by the Alternate Director; and
    d. The Second Vice-president or the Alternate Director by a person appointed by the Executive (subject to confirmation by the Representative Council) to perform the duties of the member replaced until an election can be held.
11. The Executive should meet monthly prior to the Representative Council Meeting to consider the agenda and issues pertaining to the Representative Council.

ARTICLE VI - Representative Council
1. The Representative Council shall be comprised of the Executive Branch and the Representative(s) of the staff of each school in the district; each school staff shall have one representative excepting schools with greater than 20 members who shall be entitled to representatives on the basis of one representative per 20 members or major portion thereof.

2. Each representative of a school staff shall be elected by secret ballot by the eligible members of his school staff. The term of office shall be for the duration of the school year.

3. Each member of the Representative Council shall have one vote except the Secretary and Treasurer who shall be non-voting, unless they are also the Representatives for their school.

4. Those schools which have more than one Representative will have the option to weigh their vote.

5. The Representative Council shall hold regular monthly meetings during the school year.

6. The Representative Council shall:

    a. Meet at the call of the President;
    b. Meet at the call of the majority of the Executive
    c. Direct and supervise the business, property and affairs of the Branch;
    d. Direct all committees to submit a record of all business transactions from July 1st to June 30th for audit purposes;
    e. Carry out such other duties as may be assigned to it by a General Meeting; and
    f. Report to General Meetings on actions and decisions taken by it.
7. A quorum shall be the number arrived at by taking 50% plus one of the number of schools with representatives in the branch.

8. A Representative Council Meeting shall require a quorum to be present.

9. A Branch General Meeting may by majority vote of the members present, rescind, revoke, annul or overrule any acts or decisions taken or made by the Representative Council; otherwise all actions shall stand effective.

ARTICLE VII - General Meetings
1. General Meetings of the entire membership shall be held at least once during the school year. This annual meeting shall be to elect N.B.T.A.-A.G.M. delegates, discuss Branch resolutions to the A.G.M, elect the Branch executive for the following year, and discuss voting procedures for all A.G.M. delegates of the Branch.

2. General Meetings shall be called by the President, by the Executive or by the majority of the Representative Council.

3. Notice of General Meetings shall be sent to each school at least two weeks in advance of the date of such a meeting.

4. Special General Meetings may be called at any time by the:

    a. President;
    b. Executive; and
    c. Majority of the Representative Council.
5. Special General Meetings must be called if twenty-five members signify in writing that they desire such a meeting, provided that twenty-four hours notice of the meeting is given to all schools.

ARTICLE VIII - Committees
1. The chairman and members of each standing and special committees as are required for the efficient operation of the Branch shall be named by the Executive for the approval of the Representative Council.

2. In naming committees the Executive shall, where possible, give preference to members of the Representative Council and to suggestions by members of the Representative Council.

3. Members and chairmen of standing committees shall be appointed for a one-year term, but shall be eligible for re-appointment for additional one-year terms. Where possible, a measure of both continuity and change shall be employed.

4. Committees shall take up their duties officially July 1st.

5. In the event of the death, disqualification, resignation or permanent disability of a committee member or chairman, a replacement shall be named for the duration of the term prescribed in subsection(1) of this article.

6. Each committee is responsible to the Representative Council and shall submit report(s) and recommendations to the Representative Council either on its own initiative or at the request of the Representative Council.

ARTICLE IX - Election of the Executive
1. . At the Annual General Meeting of the Branch or through distribution of the ballots to the schools, when necessary, elections shall be held for the offices of:

    a. President;
    b. First Vice-President;
    c. Second Vice-president, and when necessary;
    d. N.B.T.A. Director; and
    e. N.B.T.A. Alternate Director.
2. The normal term of office of the President/First _Vice-president, and Second Vice-president shall be two years, July 1st to June 30th.

3. The normal term of office of the N.B.T.A. Director and the N.B.T.A. Alternate Director shall be as prescribed by N.B.T.A. By-Laws .

4. These officers shall be elected by secret ballot. The outgoing Executive shall be responsible for announcing at least a full slate of candidates two weeks prior to the election. Further nominations may be made by any two Full Members and such nominations, if accepted by the nominees, shall be included on the ballot if received seven days prior to the election. ARTICLE X - Delegates to the N.B.T.A. A.G.M.
1. Ex-officio voting delegates to the N.B.T.A. Annual General Meeting shall be:

    a. The Alternate Director;
    b. The President; and
    c. The First Vice-President.
2. Other delegates and alternates shall be elected by secret ballot at the Branch Annual General Meeting, or by ballots distributed to the schools of the District.

3. The Executive shall be responsible for announcing at least a full slate of candidates two weeks prior to the Annual General Meeting. Further nominations may be made by any two Full Members and such nominations, if accepted by the nominees, must be included on the ballot if received seven days prior to the election. At the Annual General Meeting, nominations may be made from the floor. Write-in votes shall be accepted.

4. Prior to the A.G.M., a Representative Council Meeting, open to the entire membership, shall be held to discuss the Branch Resolutions to the A.G.M.

5. Prior to the A.G.M. proposed A.G.M. Resolutions shall be made available to the entire membership for consideration and discussion. A.G.M. delegates must vote the will of the Branch unless pertinent information is presented at the A.G.M., which could change the initial vote.

ARTICLE XI - Amendments
1. Any article or articles of this Constitution may be repealed or amended by the majority of those voting either

    a. At a general meeting; or
    b. By ballots distributed to the schools of the District provided that notice of motion has been given to the membership at least thirty days prior to the vote being taken.
2. Section 1 of this article notwithstanding, the ultimate power of the Branch rests in the Annual General Meeting, and this meeting shall have power:
    a. To consider any matter it deems important; and
    b. To take any action within the powers of this Branch including the revision of the By-Laws without prior notice.
